These Terms of Service ("Terms") constitute a legally binding agreement between you and Furlana Inc. ("Furlana," "we," "us," or "our") governing your access to and use of the Furlana website, platform, and related services (collectively, the "Services").

By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.

If you are using our Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

Furlana provides a platform that enables pet shops ("Partners") to offer AI-powered pet portrait generation services to their customers. Our Services include:

• AI-powered pet portrait generation in various artistic styles
• Branded microsites and web applications for Partners
• Automated newsletter and email marketing tools
• Print-on-demand merchandise featuring AI-generated portraits
• Revenue tracking and payout management
• Marketing materials and promotional tools

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice.

To use our Services, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using our Services under applicable law
• For Partners: operate a legitimate pet-related business

By using our Services, you represent and warrant that you meet all eligibility requirements.

To access certain features of our Services, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Be responsible for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or contain inaccurate information.

The following terms apply specifically to pet shop Partners:

5.1 Subscription & Fees

Partner subscriptions are billed annually as specified in your chosen plan. Fees are non-refundable except as expressly stated in these Terms or required by law. We may change pricing with 30 days' notice before your next billing cycle.

5.2 Revenue Sharing

Partners earn commissions on portrait credits, merchandise sales, and affiliate revenue as specified in your subscription plan. Commission rates may vary by product type and plan tier. Payouts are processed monthly via your chosen payment method, subject to minimum thresholds.

5.3 Branding & Customization

Partners may customize their microsite with their own branding, colors, and logo. You represent that you have the right to use all branding materials you upload. Furlana branding ("Powered by Furlana") may appear on your microsite as specified in your plan.

5.4 Partner Obligations

Partners agree to:

• Operate a legitimate, legal pet-related business
• Comply with all applicable laws and regulations, including consumer protection laws
• Not misrepresent the nature of the Services or the AI portrait generation process
• Handle customer inquiries related to their in-store experience
• Maintain accurate business and payment information

The following terms apply to end customers using Partner microsites:

6.1 Portrait Credits

Portrait credits are purchased to generate AI portraits. Credits are non-refundable and non-transferable. Unused credits remain valid for 12 months from date of purchase unless otherwise specified.

6.2 Merchandise Orders

Merchandise featuring AI portraits is produced by third-party print-on-demand partners and shipped directly to you. Shipping times and policies vary by product and destination. Returns and refunds for merchandise are handled according to our merchandise return policy.

6.3 Image Quality

The quality of AI-generated portraits depends on the quality of uploaded photos. We recommend clear, well-lit photos where the pet is clearly visible. We do not guarantee specific results and AI interpretation may vary.

All payments are processed through our third-party payment processor, Stripe. By making a purchase, you agree to Stripe's terms of service.

Prices are displayed in US dollars unless otherwise indicated. You are responsible for any applicable taxes. We reserve the right to refuse or cancel orders placed with erroneous pricing.

For subscription services, you authorize us to charge your payment method on a recurring basis until you cancel. You may cancel your subscription at any time through your account settings or by contacting us.

8.1 Furlana's Rights

The Services, including all content, features, and functionality (including but not limited to software, code, designs, graphics, and trademarks), are owned by Furlana or its licensors and are protected by intellectual property laws.

8.2 AI-Generated Content

For AI-generated portraits created using our Services: Customers retain the right to use their generated portraits for personal, non-commercial purposes. Commercial use rights depend on the subscription tier. Furlana retains the right to use anonymized portraits for AI training, marketing, and service improvement unless you opt out.

8.3 Feedback

Any feedback, suggestions, or ideas you provide about our Services may be used by us without any obligation to you.

You are solely responsible for all content you upload, submit, or transmit through our Services ("User Content"), including pet photos.

By uploading User Content, you represent and warrant that:

• You own or have the right to use and share the content
• The content does not infringe any third-party rights
• The content does not violate any applicable laws
• The content is appropriate and does not contain harmful or offensive material

You grant Furlana a non-exclusive, worldwide, royalty-free license to use, process, and display your User Content as necessary to provide the Services.

You agree not to:

• Use our Services for any illegal or unauthorized purpose
• Upload content that is harmful, offensive, or violates the rights of others
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of our Services
• Use automated systems (bots, scrapers) to access our Services
• Reverse engineer or attempt to extract source code from our Services
• Upload images of humans or content that could be used for facial recognition
• Resell, redistribute, or sublicense our Services without authorization
• Use our Services to generate content that is illegal, harmful, or violates third-party rights

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our Services will be uninterrupted, error-free, or secure. AI-generated content may not always meet your expectations, and results may vary based on input quality and AI interpretation.

We are not responsible for any third-party content, products, or services, including print-on-demand merchandise quality and delivery.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FURLANA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Furlana and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your access to or use of our Services
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Any User Content you submit or transmit through our Services

You may terminate your account at any time by contacting us or through your account settings. Upon termination, your right to use our Services will immediately cease.

We may suspend or terminate your account at any time, with or without cause, with or without notice. Reasons for termination may include, but are not limited to: violations of these Terms, fraudulent or illegal activity, non-payment, or extended periods of inactivity.

Upon termination: (a) all licenses granted to you will terminate, (b) you must cease all use of our Services, (c) we may delete your account and data (subject to our data retention policies), and (d) any outstanding payments will become due.

Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or our Services shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

Notwithstanding the foregoing, we may seek injunctive or other equitable relief in any court of competent jurisdiction.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date.

For material changes affecting your rights or obligations, we will provide at least 30 days' notice before the changes take effect. Your continued use of our Services after the effective date constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using our Services before the changes take effect.
